Smart Transfer Scheduler — Terms & Conditions

These Terms govern your use of the Smart Transfer Scheduler (“Service”). They add to Atom’s existing agreements and do not replace them. The warranty disclaimers, limitation of liability, indemnification, governing law, and jury-trial-waiver terms in the Domain Registration Agreement and Terms of Service apply fully. If anything conflicts, the order of precedence in the Terms of Service controls.

1. Your Responsibilities

Preparing each domain for transfer is your responsibility. Requirements for a valid auth code (TAC), an unlocked domain, and eligibility under the 60-day and lifecycle rules are set out in the Transfer Policy. For each batch, before its transfer date you must: (a) provide a valid, current auth code for each domain; (b) unlock each domain; and (c) keep a working payment method on file. You are responsible for the accuracy of all domains and details you upload.

For your first batch, a valid auth code for each domain is required before payment. For later batches, auth codes must be in place before the batch’s transfer date, within the timeframe stated in our reminders.

2. Failed or Delayed Transfers

Because only you can complete the steps in Section 1, Atom is not responsible for any transfer that fails or is delayed because an auth code was not provided in time, a domain was not unlocked, the payment method was invalid, uploaded data was incorrect, or another required step was not completed.

3. Reminders

We may remind you of outstanding steps, typically starting five (5) days before a batch’s transfer date by email and dashboard banner, and daily thereafter while items remain outstanding. We do not guarantee delivery or timing of any reminder. Monitor your dashboard and email, including spam folders. A missed reminder does not extend any deadline or excuse a missed step.

4. Removing Domains

You may remove domains from a batch in your dashboard until the batch moves to “In Progress.” After that, domains are locked in and cannot be removed, and Atom is not responsible for transfer fees on domains you did not remove beforehand. Once a transfer is underway, your losing registrar may separately allow you to cancel or reject it; those timeframes are set by that registrar and vary, so check with them directly.

5. Domain Expiration

The Service is not a renewal service. A domain may expire before its batch transfer completes. Expiration, grace, and redemption timelines are governed by the Domain Life Cycle (ERRP) Policy and generally set by the losing registrar. Tracking expiration dates and renewing with your current registrar remain your responsibility. Atom is not liable for any loss, expiration, deletion, redemption cost, or non-renewal, whether before, during, or after a batch.

6. Retries

If a domain fails to transfer, we may offer a retry option. Retrying does not guarantee success. We are not obligated to retry a failed transfer and are not liable for transfers that fail after one or more attempts.

7. Fees

Fees for completed transfers are non-refundable except where required by law. If we charged you for a transfer that did not complete, we will refund that charge. If your payment method is invalid or a charge fails, the affected transfer may not proceed.

8. No Guarantee of Success

Whether a transfer completes depends on factors outside our control, including the losing registrar, the registry, and ICANN policy. We do not guarantee that any transfer will succeed or complete by a particular time.

9. "As Is"

The Service is provided “as is.” Atom’s warranty disclaimers, limitation of liability, and indemnification terms in the Domain Registration Agreement and Terms of Service apply fully.

10. Suspension, Termination, and Changes

We may suspend, limit, or end your access to the Service at any time, consistent with the Terms of Service. If we discontinue the Service, we will make reasonable efforts to notify you of material changes affecting active scheduled transfers, and beyond refunding pre-paid fees for batches not yet “In Progress,” we are not liable for losses from discontinuation. We may update these Terms; material changes will be flagged, and continued use after they take effect constitutes acceptance.

11. Governing Law

These Terms follow the same governing law, venue, and jury-trial-waiver provisions as the Domain Registration Agreement (Illinois, USA; Cook County).
